الملخص
هدفت هذه الدراسة إلى تحليل وتقييم واقع حوكمة الشركات في الجزائر بعد صدور ميثاق الحكم الراشد (2009)، من خلال عرض دراسة حالة شركة آن سي آى"رويبة الجزائر، وتوصلت الدراسة إلى أن حوكمة الشركات في الجزائر بعيدة عن المستوى المطلوب، وذلك لضعف دور البورصة ومحدودية المنظمات المهنية وعدم فعالية النظام الضريبي والقضائي والمحاسبة، وغياب إطار مؤسسي صلب وقوانين داعمة له. وأوصت الدراسة في الأخير بضرورة بذل المزيد من الجهود من أجل تحديد الإطار المؤسسي لحوكمة الشركات في الجزائر، وترقية عملية تسيير ومراقبة المؤسسات من أجل ضمان حقوق أصحاب المصلحة من خلال استقلالية المراجعة الداخلية والخارجية في المؤسسات. Abstract:This study aimed to analyze and evaluate the reality of corporate governance in Algeria after the issuance of the Charter of good governance (2009), and trying to present a case study of an Algerian industrial enterprise, NCA Rouiba, the study found that corporate governance in Algeria is far from required this is due to the weak role of the stock exchange And limited professional organizations and the ineffectiveness of the tax and judicial accounting system, the absence of a solid institutional framework and supporting laws This study recommended that more efforts be made to define the institutional framework for corporate governance in Algeria, and promote corporate governance to ensure stakeholder rights through the independence of internal and external auditing in institutions.
