الملخص
ملخص: تعتبر شركات المساهمة أحد أهم الأنواع وأكبر الشركات التي ينقسم رأسمالها إلى أسهم متساوية القيمة وقابلة للتداول لمجموعة من شركاء الذين يهدفون الى توظيف أموالهم مقابل الحصول على عائدات، حيث تمثل الجمعية العامة للمساهمين نقطة لقاء هؤلاء الشركاء ويدير هذا النوع من الشركات مجلس الإدارة، تهدف هذه الدراسة الى دراسة وتحليل القرارات الاستراتيجية للجمعية العامة ومجلس الإدارة وأثرها على الأداء المالي من الخلال الاعتماد على مؤشرات المردودية المالية، الاقتصادية وتوزيعات الأرباح. توصلت الدراسة الى ان القرارات الاستراتيجية للجمعية العامة للمساهمين ومجلس الإدارة تؤثر بشكل كبير على مستقبل الشركة وهذا ما ترجمه الأداء المالي لشركة Nca Rouiba، حيث هذا التأثير يمكن أن يكون إيجابي من خلال تطور أداء الشركة وتحقيقها لأهدافها ويمكن أن يكون التأثير سلبي متمثل في تعثر الشركة وتدهور الحالة المالية لها. Abstract: Joint-stock companies are considered one of the most important types and largest companies whose capital is divided into equal value shares that are tradable among a group of partners aiming to invest their money in exchange for returns. The general assembly of shareholders serves as a meeting point for these partners, and this type of company is managed by a board of directors. This study aims to examine and analyze the strategic decisions of the general assembly and the board of directors and their impact on financial performance indicators and dividend distributions. The study found that the strategic decisions of the general assembly of shareholders and the board of directors have a significant impact on the future of the company, as reflected in the financial performance of Nca Rouiba Company. This impact can be positive through the company's performance improvement and achievement of its objectives, or it can be negative, resulting in the company's failure and deterioration of its financial condition.
