النظام القانوني للشركات التابعة والقابضة

الملخص
تتعد الشركات التابعة والقابضة من الشركات التجارية، وهي ليست نوع جديد من الشركات ،لكن لديها نظام قانوني خاص بها، فقد تناولهما المشرع تحت تسمية مختلفة إذ سماها بالشركات التابعة والمساهمات والشركات المراقبة، في القانون التجاري ، ومن ثمة فإن هذه الدراسة تهدف إلى البحث عن علاقة الشركات التابعة بالشركة القابضة التي تتخذ عادة شكل تجمع، الأمر الذي يتطلب توضيح بعض الاختلالات المتعلقة أساسا بالمصطلحات القانونية المعتمدة من قبل المشرع، وعليه فهذه الورقة البحثية تضمنت تحديد ماهية الشركات التابعة للتوصل إلى تحديد العلاقة التي تربط بينها وبين ما سماها المشرع بشركات المساهمات وكذا المراقبة(القابضة).
