دور مجلس الإدارة في تفعيل حوكمة الشركات

الملخص
تعتبر شركات المساهمة من أهم أنواع الشركات التجارية في مجال المال والأعمال وذلك لما لها من قدرة على تجميع رؤوس أموال ضخمة واضطلاعها بالقيام بنشاطات ذات أهمية مؤثرة، والأكثر من ذلك يرتبط وجودها وتطورها، ارتباطا وثيقا بتطور حياة الإنسان سواء من الناحية الاجتماعية أو الاقتصادية. وعليه، لضمان وجود هذا النوع من الشركات، فإنه يعتمد في نظر العديد على صفات وإدارة القادة على رأس الشركة. لذلك فإن دور الأجهزة الاجتماعية له أهمية خاصة في المسار "السعيد" أو "التعيس" الشركات التجارية وفوائد الاقتصاد. ولتحقيق هذه الغاية وجدت قواعد تعمل على وضع إطار ينظم أهداف الشركة وتضمن حقوق المساهمين والمتعاملين مع الشركة، وتدعى هذه القواعد بمبادئ الحوكمة، والتي يسعى لضمان تفعيلها مجموعة من الهيئات وعلى رأسها مجلس الإدارة. The companies involved are among the most important types of business and financial firms, because they are able to raise large capital and carry out activities of significant importance, and, more importantly, their existence and development are closely linked to the development of human life, both socially and economically. Accordingly, To ensure that this type of business exists, it depends on the qualities and management of leaders at the head of the business. The role of social services is therefore particularly important in the "happy" or "unhappy" path of business and economic benefits. To achieve this end, rules have been found that work to develop a framework that regulates the company’s goals and guarantees the rights of shareholders and dealers with the company. These rules are called the principles of governance, which seeks to ensure their activation by a group of bodies, especially the Board of Directors
