الملخص
ملخص: تسمح القراءة الأولية للمواد القانونية المتعلقة بشركة المساهمة البسيطة بالوقوف على خصوصية التنظيم القانوني الذي حظيت به هذه الشركة حيث تعد من أحدث أشكال الشركات التجارية المعروفة في عصرنا الحالي، وهذا تجسيدا لمطابقة الإصلاحات الإقتصادية المقررة من طرف الدولة مع توجهها السياسي والإقتصادي المعتمد الذي يستهدف إرساء مبادئ حوكمة الشركات في بيئة الأعمال الجزائرية ورسكلة قطاع الإستثمار. وبالتالي جعل أهمية مؤسساتية متميزة لشركة المساهمة البسيطة، وكذا ماتتميز به من شخصية معنوية وكذا رأسمالها وحماية المساهمين به، وحماية الأغيار وأقلية المساهمين هذا مايجعل منها كشركة مجسدة للتعاون والتقارب بين المقاولات الكبرى من خلال الإعتبار الشخصي القوي الذي يتمتع به تسييرها وتنظيمها، وتقتصر هذه الدراسة على إبراز بعض الخصوصيات المتعلقة بشركة المساهمة البسيطة من خلال نصوص القانون 22 – 09 المعدل والمتمم لأحكام القانون التجاري . Abstract: The preliminary reading of the legal articles related to the simple joint-stock company allows to identify the specificity of the legal regulation that this company has enjoyed, as it is one of the most recent forms of commercial companies known in our time. This fact is an embodiment of matching the economic reforms decided by the state with its approved political and economic orientation aimed at establishing principles of good governance Companies in the Algerian business environment and the restructuring of the investment sector. Thus, le law made a distinct institutional importance for the simple joint-stock company, as well as its moral personality, its capital and the protection of its shareholders, in addition to the minority of shareholders. This makes it as a company embodying cooperation and rapprochement between major companies through the strong personal consideration enjoyed by its management and organization.
