الملخص
يعتبر المساهم في شركة المساهمة الركن الأول في نشأة هذا الكيان، فالأموال أمواله، والقرارات قراراته، فشركة المساهمة أنشئت من أجل تجميع وتوظيف رؤوس الأموال بمختلف كمياتها الكبيرة والصغيرة، فهي القاعدة العريضة للمساهمين، وكذا بمختلف أشكالها فتضم المساهمات النقدية والعينية، والمساهمات بالعمل. تتشكل المساهمات العينية من مختلف الأموال غير النقدية، وتتنوع بين أموال مادية وأخرى معنوية، وضمن هذه الأخيرة تصنف براءة الاختراع التي تعتبر سند ملكية لصاحبها على هذا الاختراع ، ومن ثم يمكنه التصرف فيها وفق ضوابط قانونية، ومن صور التصرف ذات الأهمية بالنسبة لمالك البراءة أو الراغبين في استثمارها تقديمها كحصة في شركة المساهمة تمنح مقابلها أسهم عينية، الأمر الذي يجعل المساهم بها ليس شريكا بماله فقط، بل عضوا فعالا يمارس دوره داخل الشركة بما له من حقوق تخولها له أسهمه سواء عند تكوين الشركة أو عند انقضائها The shareholder in a joint stock company is considered to be first pillar in the foundation of this entity; The funds are his and the decisions also. A joint stock company is established to collect and employ funds in different amounts, huge ones as well as small ones. It is the large base for shareholders; and due to its various forms, it includes cash, in-kind and work shareholdings. The in-kind shareholdings are formed with different non-cash funds, and divided into physic and moral funds, this later in which the patent can be classified since it is considered as a title deed to its owner for the invention related to. This way, it can be disposed according to legal controls. One of the main examples of its dispositions for the owner is to be provided as a share in the joint stock company in return of in-cash shares; which makes this patent shareholder, not only a partner with funds but also an active member who plays his role within the company as rights conferred to him by his shares, either during the foundation of the company or when it is ended.
