مظاهر الحماية القانونية للغير في الشركات التجارية من منظور المشرع الجزائري

الملخص
ملخص: وضع المشرع الكثير من الأحكام القانونية التي تهدف لتعزيز الثقة والإئثمان بالنسبة لمختلف العلاقات القانونية التي تنشأ في الشركة التجارية هذا من جهة . ومن جهة أخرى يتمتع المسيرين بسلطات واسعة في الشركة و تجاه الغير فيحق للمسير أن يبرم كل التصرفات اللازمة لنشاط الشركة من بيع وإستئجار وتأمين مع الإشارة إلى أنه يجب أن يحصل في بعض التصرفات على إذن خاص من الشركاء نظرا للحماية المقررة للغير مع مراعاة مصلحة الشركة في كل الظروف . يكمن الهدف من وراء هذه الدراسة هو ضبط مصطلح الغير كونه متعدد المفاهيم في عقد الشركة وإظهار أساليب حمايته خاصة أنه يعد من الركائز الأساسية، فالمشرع خصه بحماية في جميع مراحل الشركة من تكوينها إلى نهايتها . و لقد تم أخد عينات من أجل دراستها حول مجموعة من الشركات ضمانا لفكرة الحماية الفعلية للغير ، كما تم التوصل إلى عدة نتائج هامة من بينها وجب الموازنة لوسائل الحماية في مختلف مراحل الشركة وتعميمها . Abstract: The legislator has laid down many legal provisions that aim to enhance confidence and trust with regard to the various legal relations that arise in the commercial company. On the other hand, the managers enjoy wide powers in the company and towards others, so the manager has the right to conclude all the necessary actions for the company’s activity such as selling, leasing and insurance with reference. Yet, in some actions he must obtain a special permission from the partners due to the protection granted to others, taking into account the interest of the company in all circumstances . The goal behind this study is to control the term “others” as it is a multi-concept in the company’s contract and to show the methods of its protection, especially since it is one of the main pillars. Samples were taken for study about a group of companies to ensure the idea of actual protection for others, and several important results were reached, including the need to balance the means of protection in the various stages of the company and circulate it.
