Joint Liability When Violating The Procedures For Incorporation Of A Joint Stock Company

Abstract
This study aims to address the provision of joint liability decided by the Algerian legislator when violating the procedures for establishing a joint stock company, according to a critical analytical approach to the legal texts governing the provisions of the joint stock company. The study concluded that the Algerian legislator's goal in establishing this responsibility aimed at protecting others and subscribers still needs more scrutiny and clarity. تهدف هذه الدراسة إلى التطرق لأحكام المسؤولية التضامنية التي قررها المشرع الجزائري عند مخالفة إجراءات تأسيس شركة مساهمة، وذلك وفق منهج تحليلي نقدي للنصوص القانونية المنظمة لأحكام شركة المساهمة. وخلصت الدراسة إلى أن هدف المشرع الجزائري من إرساء هذه المسؤولية الرامية إلى حماية الآخرين والمشتركين لا يزال يحتاج إلى مزيد من التدقيق والوضوح.
