الآثار القانونية المترتبة على تعيين الأجير في منصب المدير في شركة المساهمة

الملخص
تلجأ شركة المساهمة في كثير من الحالات إلى تعيين العامل الأجير في إحدى مجالسها، سواء أتعلق الأمر بمجلس الإدارة أم بمجلس المديرين أو بمجلس المراقبة، وذلك بحسب نوع الشركة؛ وهذا من أجل تحفيز العمال لتحسين مردوديتهم عن طريق اشراكهم في هيئات اتخاذ القرار في الشركة. غير أنّه ينجم عن هذا التعيين تنازع للمصالح؛ منها: المصلحة الخاصة للعامل من جهة، ومصلحة الشركة والمصلحة العامة للمساهمين من جهة أخرى، مما يخلف آثارا تترتب على هذه الوضعية. ومن خلال هذا المقال سيتم دراسة الآثار الناجمة عن الجمع بين منصب العامل الناشئ عن عقد العمل، ومنصبه الناشئ عن قرار التعيين في إحدى مجالس الشركة. ويهدف هذا المقال أيضا إلى الإشارة إلى أوجه الفروق بين الآثار الإيجابية لوضعية الجمع وآثارها السلبية، بقصد تفادي هذه الأخيرة بداعي إضرارها بمصلحة الشركة. الكلمات المفتاحية: شركة المساهمة؛ مجلس الإدارة؛ الأجير المساهم؛ جمع المناصب؛ عقد العمل. Abstract : In many cases, a joint-stock company resorts to appointing a wage worker to one of its boards. Whether it is a board of administration, a board of directors, or a supervisory board, depending on the type of company; in order to motivate workers to improve their profitability by involving them in the decision-making bodies of the company. However, there is a conflict of interests; the private interest of the worker on the one hand, and the interest of the company and the general interest of the shareholders on the other hand, which leaves implications for this situation. Through this article, the effects of combining the position of the worker arising from the employment contract will be studied, and his position arising from the appointment decision to one of the company’s boards. This article also aims to point out the differences between the positive effects of the combination situation and its negative effects, in order to avoid the latter as it harms the interest of the company.
