سيادة الجمعية العامة العادية في تعيين و عزل أعضاء مجلس الإدارة في شركة المساهمة (دراسة مقارنة)

الملخص
يتميز البنيان الإداري لشركة المساهمة بتعدد الأجهزة التي تتكون منها هذه الشركة، و تعتبر الجمعية العامة العادية الهيئة ذات السيادة في الشركة و صاحبة الكلمة العليا و مصدر السلطات، ففيها يجتمع المساهمون و يتدارسون أحوال الشركة و يمارسون السلطات التي منحهم إياها القانون، و للجمعية العامة العادية سلطات متعددة على مجلس الإدارة لكونها السلطة العليا في الشركة حيث خولها القانون سلطة مانعة و إستأثارية في تعيين أعضاء هذا الجهاز أثناء حياة الشركة غير أنه أورد على سلطتها بعض القيود التي يجب عليها مراعاتها حتى يكون قرار تعيينها صحيحا، كما منحها في المقابل صلاحية عزل أعضاء مجلس الإدارة تطبيقا لمبدأ توازي الأشكال والذي يقضي بأن السلطة التي تملك التعين هي التي تملك العزل ومكنها من ممارسة ذلك في أي وقت. The administrative structure of the joint stock company is characterized by the multiplicity of organs that make up this company, and the General Assembly is the sovereign body of the company and the holder of the supreme word and the source of the authorities in it, in which shareholders meet and examine the conditions of the company and exercise the powers granted by law, and the General Assembly has multiple powers over the Board of Directors because it is the supreme authority of the company where the law gave it the authority to appoint members of this organ during the life of the company other than It has provided its authority with some restrictions that it must observe in order for the decision to appoint it to be correct, and in return has granted it the power to remove members of the Board of Directors in accordance with the principle of parallel forms, which stipulates that the authority with the appointees has the isolation and enables it to do so at any time.
