الملخص

تتناول هذه الورقة البحثية دراسة المبادئ الناظمة للتفاوض على عقود التجارة الدولية، فمرحلة التفاوض وعلى الرغم من أهميتها في إنشاء العقود، إلا أنها لم تحظى بالتنظيم من قبل المشرع الجزائري، ومن قبل العديد مشرعي دول العالم، الأمر الذي استدعى تنظيمها من خلال إعمال مبدأين أساسين، مبدأ حرية التفاوض ومبدأ حسن النية. يتولى مبدأ حسن النية ضبط حرية المتفاوضين بما يكفل التوازن بين مصالحهم، وعدم المساس بحرية إرادتهم، إذ يترتب عن إعماله وقوع العديد من الالتزامات على عاتقهم، لعل أهمها الالتزام بالإعلام والالتزام بالسرية، اللذان يعتبران متقابلان ومتكاملان خلال مرحلة التفاوض، كون ما يتم تقديمه من معلومات تنفيذا للأول، يتم التكتم عليها من قبل متلقيها، وعدم استغلالها إلا بإذن صاحبها تنفيذا للثاني. This research paper investigates the principles that govern the negotiation of international trade contracts. Despite its importance in contract formation, the negotiation stage was not regulated by Algerian legislators or many other legislators around the world, necessitating its organization through the application of two basic principles: the principle of freedom of negotiation and the principle of good faith. The principle of good faith governs negotiators' freedom to ensure a balance between their interests while not impairing their freedom of will, because its implementation entails the occurrence of many obligations on them, perhaps the most important of which is the obligation to inform and the obligation to confidentiality, which are viewed as mutually exclusive and complementary during the negotiation stage, because the information provided in implementation of the first, it is kept secret by its recipient, and it is not used except with the owner's permission in the implementation of the second.
