الملخص

قد يكون الاختيار الأمثل لطريقة ممارسة نشاط تجاري هو العامل المهم في نجاح أي مشروع تجاري، إذ يمنح المشرع طريقتين لممارسة الأنشطة التجارية وهي إما في شكل مشروع فردي أو شركة، وتسهيلا لهذا الاختيار فقد تطرق البحث لايجابياتهما وسلبياتهما، وعلى أساس ذلك يمكن لكل شخص يرغب في استثمار أمواله في مشروع، المفاضلة بينهما واتخاذ القرار الصائب، آخذا في حسبانه إمكانية تقبله لسلبيات اختياره والايجابيات التي يكمن تتحقق من الاختيار الصائب، هذا ولقد حاولت معظم التشريعات وعلى رأسها التشريع الجزائري إيجاد حلول قانونية قد تؤدي إلى تفادي سلبيات المشروع الفردي والشركة، وعلى رأسها المسؤولية الشخصية عن الديون بالنسبة للمشروع الفردي وعدم الاستقلالية في اتخاذ القرارات بالنسبة للشركة، باستحداث المؤسسة ذات الشخص الوحيد وذات المسؤولية المحدودة. The success of the business activity depends on the legal coverage chosen by the merchant. the legislator has offered him two alternatives to practice; either under the cover of a sole proprietorship or in the form of a company. this research focuses on the advantages and disadvantages of each alternative, which will allow each person wishing to invest their capital to evaluate all and make the most appropriate decision, while being aware of and accepting the consequences of his choice whether they are unfortunate or advantageous, a great part of the legislators including the Algerian legislator have tried to find legal solutions in order to avoid the annoyances of the individual enterprise as well as that of the company as example; the personal liability for debts related to the sole proprietorship, the lack of independence in the company's decisions. for this reason, they created the one-man business with limited liability.
