تعسف الجمعية العامة كعقبة أمام حق المساهم في الحصول على الأرباح في شركة المساهمة

الملخص
الملخص: يعتبر حق المساهم في الحصول على الأرباح من الحقوق الأساسية للمساهم و الرهان الذي يعلق عليه جميع المساهمون آمالهم، و قد منح المشرع للجمعية العامة باعتبارها الهيئة ذات السيادة سلطة توزيع هذه الأرباح بعد مصادقتها على الحسابات السنوية و تأكدها من وجود مبالغ قابلة للتوزيع، والأصل أنه متى حققت الشركة أرباحا تعين توزيعها على المساهمين، غير أنه وحرصا من المشرع على حماية والتوفيق بين مختلف المصالح التي تلتقي داخل الشركة اهتم بتنظيم هذا الحق بوضع إطار قانوني يضمن ربحية و أمن الأعمال ، عن طريق منح الجمعية العامة إمكانية وقف توزيع هذه الأرباح متى كانت مصلحة الشركة تقتضي ذلك، أما في حال ما إذا تعسفت في استعمال سلطتها فمن حق المساهم اللجوء إل القضاء و الذي يكون له سلطة إلغاء هذا القرار متى تراءى له أنه جائر و لا يحقق مصلحة الشركة. Abstract : The right of the shareholder to obtain profits is one of the basic rights of the shareholder and the bet on which all shareholders pin their hopes, and the legislator has granted the General Assembly as the sovereign body the authority to distribute these profits after approving the annual accounts and making sure that there are distributable amounts, and the origin is that when the company achieves profits, it must be distributed to the shareholders, but in the interest of the legislator to protect and reconcile the various interests that meet within the company, he was interested in organizing this right by placing A legal framework that ensures the profitability and security of business, by granting the General Assembly the possibility of stopping the distribution of these profits when the interest of the company so requires, but in the event that it abuses its authority, the shareholder has the right to resort to the judiciary, which has the authority to cancel this decision when he deems it unfair and does not achieve the interest of the company.
