لملخص: ان حوكمة الشركات هي سبيل التقدم لكل من الافراد والمؤسسات وا7تمع ككل، اذ توفر آليا1ا للأفراد قدر مناسب من الضمان لتحقيق ربحية معقولة لاسنثمارا1م، وفي الوقت نفسه تعمل على كفاءة وسلامة اداء المؤسسات، وبالتالي دعم استقرار وتقدم الاسواق المالية والاقتصادات وا7تمعات، ويهدف البحث إلى تسليط الضوء على مسودة دليل قواعد حوكمة الشركات الصادرة عن هيئة الاوراق المالية في العراق لبيان نقاط الضعف ونواحي القصور فيها مقارنة بمبادئ منظمة التعاون الاقتصادي والتنمية OECDحول الحوكمة. Abstract Corporate governance is the way forward for each of the individuals, institutions and society as a whole, as its mechanisms provides for individuals adequate levels of security to achieve a reasonable profit on their investment, at the same time working on the efficiency and safety of the enterprise performance, and thus support the stability and progress of the financial markets, economies and societies. the research aims to shed light on the evidence draft of rules corporate governance in Iraq to show weaknesses and shortcomings points in compared to the principles of Organization for economic cooperation and development (OECD) on governance.
