ملخص : يختلف النظام القانوني لمسيري الشركات التجارية حسب كل نوع شركة على حدى، ولعل فكرة تأرجح الشركة التجارية بين العقد والنظام لأثر بالغ على تحديد أجهزة الإدارة والتسيير، وكذا تعيين المسيرين أو عزلهم بين الحرية التعاقدية وتدخل المشرع بنصوص قانونية أو ما يعرف بالمفهوم النظامي للتسيير، غير إن الأمر في شركة المسؤولية المحدودة يختلف تماما في قواعد تعيين وعزل مسير أو مسيري الشركة، وهذا نظرا لطابعها المختلط والجامع بين الاعتبار الشخصي والمالي. وتأتي دراستنا لتوضيح القواعد الخاصة بتعيين وعزل مسير شركة المسؤولية المحدودة الذي يبنى على اعتبارات مالية بحته، كوجه حمائي اقره المشرع على وجه الخصوص فى هذا النوع من الشركات للأصحاب الأقلية من تعسف مالكي الأغلبية.
