أحكام تخفيض رأس مال شركة المساهمة :التعديل السلبي دراسة في القانون الجزائري

الملخص
تعد عملية تخفيض رأس مال شركة المساهمة من الأمور المعقدة والخطيرة، باعتبار أن رأس المال هوالضمانة الحقيقية والوحيدة لدائنيها، وقد اشترط المشرع الجزائري أن يكون رأس المال كافيا لممارسة شركة المساهمة لنشاطها، وحدد حدا ادنى له يختلف في شركة المساهمة بين تلك التي تلجا إلى علانية الادخار عن الشركة التي تتأسس فوريا –دون اللجوء إلى العلانية الادخار-لكن ونظرا لبعض الظروف والمتغيرات قد تلجا الشركة إلى تعديل راسمالها، وهوما يتطلب منها مراعاة الأطر والأسس التي حددها المشرع الجزائري، لتخفيض رأس مال الشركة أسباب عديدة ومتعددة قد ينجر عنها أثار على دائني الشركة . فما هي الضمانات القانونية التي كفلها المشرع الجزائري لحماية أصحاب المصالح من عملية تخفيض رأس المال في شركة المساهمة ؟ الكلمات المفتاحية : شركة المساهمة ,رأس المال , تخفيض رأس المال , الدائنين Abstract: The process of reducing the capital of a joint-stock company is a complex and dangerous matter, considering that the capital is the real and The only guarantee for its creditors، and the Algerian legislator stipulated that the capital should be sufficient for the joint-stock company to carry out its activities, and set a minimum for it that differs in the joint-stock company between those that resort to To publicly save for the company that is established immediately - without resorting to public savings -، But due to some circumstances and variables, the company may resort to adjusting its capital،, which requires it to take into account the frameworks and foundations set by the Algerian legislator، to reduce the company،s capital for many and multiple reasons.
