مجالس الإدارة والمراقبة في شركات المساهمة وصفة التاجر

الملخص
ملخص: تبعا للأهمية التي تحتلها شركات المساهمة في الحياة الاقتصادية للمجتمعات العالمية، حرصت مختلف التشريعات بصفة عامة، والتشريع الجزائري بصفة خاصة، على إسناد سلطات إدارة وتسيير هذه الشركات لأجهزة محددة بداخلها مثل مجلس الإدارة في النظام القديم ومجلس المراقبة في النظام الحديث، لكن في مقابل ذلك قامت بتحميلها جملة من المسؤوليات المتنوعة والمختلفة. ومن بين المسؤوليات الملقاة على عاتق أجهزة الإدارة في شركات المساهمة عموما نذكر على سبيل المثال لا الحصر اكتساب هذه الأخيرة لصفة التاجر وما ينجر على هذه الصفة من التزامات ومسؤوليات لعل أبرزها هو نظام الإفلاس المطبق على التجار بصفة عامة.
