نظام مجلس الإدارة في شركات المساهمة ذات رؤوس الأموال العمومية

الملخص
تقوم شركة المساهمة على هيكل تسيير يكون فيه مجلس الإدارة هو الهيئة التنفيذية التي تتولى رسم التوجيهات الرئيسية والأهداف الأساسية للشركة، ومراقبة عملها وتعيين الرئيس المدير العام. ويتشكل من أعضاء يحوزون أسهما في الشركة، غير قابلة للتداول، تضمن مسؤوليتهم على أخطاء التسيير. وهو نفس التنظيم الذي أخذ به المشرع الجزائري في المؤسسة العمومية الاقتصادية المكونة على شكل شركة مساهمة، مع فارق أن أعضاء مجلس الإدارة ينتمون للقطاع العام وليسوا مساهمين تضمن أسهمهم مسؤوليتهم. هذا النظام أثبت محدوديته بسبب ضعف الحوافز المالية وأسلوب التعيين الذي ما زال خاضعا لسيطرة الوصاية، وغير مبني على أسس اقتصادية وتجارية. Shareholding Company is based on a management structure in which the board of directors is the executive body that draws the main directives and basic objectives of the company, monitors its work and appoints the chief executive officer. It consists of members who hold shares in the company, which are not negotiable, and that guarantee their responsibility for management errors. The Algerian legislator adopted this way of organization in the public economic corporation formed as a joint stock company, with the difference that the members of the board of directors belong to the public sector and are not shareholders whose shares guarantee their responsibility. This system has proven its limitations due to weak financial incentives and the method of appointment, which is still subject to the control of the state supervision, and is not based on economic and commercial foundations.
