الملخص
تمثل الاكتشافات والاختراعات العلمية أهمية خاصة بالنسبة للتقدم الفني للمجتمعات بحيث تعتبر مؤشرا ثابتا للازدهار الاقتصادي وتحتل براءات الاختراع مكانا مرموقا في الحياة الاقتصادية نظرا للآثار الناجمة عن استغلالها. فبراءة الاختراع هي مال له قيمة اقتصادية، وهي بهذه الصفة تدخل في الجانب الايجابي للذمة المالية للمخترع، ومن ثم يمكن أن تكون محلا لكثير من التصرفات الإرادية من جانبه. ويلجأ المخترع عادة إلى التنازل عن براءة اختراعه للغير إذا لم يكن ملم بطبيعة السوق والأعمال التجارية، فيفضل بذلك إتباع طريق قانوني للحصول على ثمار اختراعه، ومن أجل ذلك يقوم بإبرام مثل هذا العقد الذي يمثل أداة اقتصادية هامة لاستغلال براءات الاختراع. ونظرا لأهمية هذا العقد من الناحية القانونية والاقتصادية جاءت هذه الدراسة محاولة للالمام بجوانبه القانونية لمعرفة الخصوصية التي يتمتع بها. Abstract : The scientific discoveries and inventions constitute a particular importance for the technical progress of societies, as they are considered a fixed indicator of the economic prosperity. Patents occupy a prominent position in the economic life, due to the effects of their exploitation. Because patents are money with an economic value, which makes themfall within the positive aspect of the inventor’s financial disclosures, and thus, they can be subject to several administrative behaviors from his side. The inventor usually hasrecourse to waiving his patent for others, if he is not aware of the nature of market and business, so, he prefers to conclude such contract, which constitute an important economic tool, for the exploitation of patents. Given the importance of this contract, from the legal and economic sides, this study came as an attempt of capturing its legal aspects, to identify its specificity
