الملخص

إن مفهوم حوكمة الشركات والذي يقوم على أساس تنظيم العلاقات القائمة بين مجلس الإدارة في الشركات وبين مديري الفروع التنفيذيين ولجان التدقيق وكذلك المساهمين وأصحاب المصالح في الشركات. العدل والشفافية والمسؤولية والمساءلة هي القيم الأساسية لمفهوم حوكمت الشركات وهي أيضاً مبادئ أساسية للديمقراطية، وعلى ضوء الأزمات المالية التي حدثت مؤخرا ً قفز مفهوم حوكمت الشركات إلى صدارة الأحداث وأضحى قضية ً رئيسة ً بالنسبة إلى الأعمال في أي اقتصادٍ من الاقتصاديات الآخذة في العولمة بصورة متزايدة والتي تريد تجنب أي نوع من الأزمات. يؤدى تطبيق البنوك للحوكمة إلى نتائج إيجابية متعددة أهمها زيادة فرص التمويل وانخفاض تكلفة الاستثمار واستقرار سوق المال، والحد من الفساد، كما أن التزام البنوك بتطبيق معايير الحوكمة يسهم في تشجيعها للشركات التي تقترض منها بتطبيق هذه القواعد والتي من أهمها الإفصاح والشفافية والإدارة الرشيدة ويؤدى تطبيق الشركات لمبادئ الحوكمة إلى انخفاض درجة المخاطر عند تعاملها مع البنوك والإقلال من التعثر .
