نظرات في التنظيم القانوني لشركة التوصية البسيطة في قانون الشركات الإماراتي Remarks On The Legal Recognition Of The Simple Limited Partnership Under The Uae Companies Law

الملخص
على الرغم من الدور الهام الذي يمكن ان تضطلع به شركة التوصية البسيطة في مجال المشاريع الإقتصادية الصغيرة و المتوسطة، فقد عانت هذه الشركة مؤخراً من تراجع في دورها و ضعف في الإقبال عليها، كما عانى النظام القانوني لها من بعض أوجه القصور نتيجة البون الشاسع بين المراكز القانونية للشركاء فيها. بناء عليه، فإن هذه الدراسة تهدف الى الوقوف على أهم القواعد الناظمة لهذا النوع من الشركات سواء ما تعلق منها بالتأسيس أو الإدارة أو المركز القانوني للشركاء. كما تهدف هذه الدراسة الى تحديد ما الذي يجب أن يكون عليه القانون من أجل جذب المستثمرين إلى هذه الشركة، و إرساء التوازن بين مصالح جميع الشركاء فيها. و قد تم تقسيم هذه الدراسة إلى مبحثين رئيسيين و خاتمة. أما المبحث الأول فيتعلق بتأسيس شركة التوصية البسيطة، و المبحث الثاني خاص بإدارتها و الرقابة عليها، في حين أن الخاتمة تنصب على أبرز النتائج و التوصيات التي تم التوصل إليها في الدراسة. Despite the vital role that Simple Limited partnership may play in small and medium Size Enterprises, such company has recently suffered a considerable decline in its role as a result of the major differences between the legal positions of its partners. Also, the legal system of this company has suffered from many areas of weakness, which lead to considerable decline of the establishment of such company. Therefore, this study aims to explore the main rules governing the simple limited partnership in UAE especially those relating to the legal position of partners, the establishment and administration of this company. Furthermore, this study determines what the law ought to be in order to attract investors to this company and strike a balance between the different interests of the partners involved. As such, this study has been divided into two main sections and a conclusion. The first section deals with the establishment of simple limited partnership, while the second section sheds light on the administration of this company and the legal control on its actions. Finally, the conclusion focuses on the main results and recommendations of this study
