المسؤولية التضامنية في قانون الشركات التجارية الجزائري

الملخص
تهدف هذه الدراسة إلى البحث عن المقصود بالمسؤولية التضامنية والتعرف على حالات تطبيقها في بعض الشركات التجارية، خاصّة الشركات التي تقوم على مبدأ المسؤولية المحدودة. وتوصلت الدراسة إلى عدة نتائج أهمها أن المشرع الجزائري شدد في أحكام المسؤولية المطبقة على الشركاء والمسيرين في بعض الحالات فأخذ بأحكام المسؤولية التضامنية بدلا من المسؤولية المحدودة حماية للشركاء وللغير خاصّة في شركة المساهمة والشركة ذات المسؤولية المحدودة التي خرج المشرع فيهما عن أحكام المسؤولية المحدودة وطبق أحكام المسؤولية التضامنية. This study aims is seeking the meaning of solidarity responsibility and identifying the cases of its application in some commercial companies, especially companies based on the principle of limited responsibility.And the study found several conclusions, the most notably that Algerian legislators have emphasized the responsibility provisions applicable to partners and managers in some cases, introducing solidarity responsibility provisions rather than limited responsibility to protect partners and not especially in the shareholding company and the limited responsibility company in which the legislators departed from the provisions of limited responsibility and applied the provisions of solidarity responsibility.
