الملخص
تعتبر شركات التوصية بالأسهم من الشركات التجارية التي لها طابع نظامي مختلط يجمع بين خصائص شركات الأشخاص وخصائص شركات الأموال ،فهي تضم فريقين من الشركاء متضامنين لهم نفس مركز القانوني للشركاء في شركة التضامن وشركاء موصين يتشابه مركزهم القانوني مع الشركاء الموصين في شركة التوصية البسيطة ومع المساهم في شركة المساهمة . و كذا الحال بالنسبة لتسييرها فهي تتميز بتعدد أجهزتها فهناك المسير الذي يدير هذه الشركة ومجلس المراقبة الذي يتولى الرقابة الدائمة لتسيير الشركة.
