This article aims to present a review of the literature concerning two types of systems of corporate governance. Quite particularly, it is a question of examining the interest of these systems for the good management of companies. The corporate governance is indeed the object of an increasing attention in the manager literature and is in the heart of the debates which deal of of the question of the regulation of the powers in the modern companies. The accent will be put on the characteristics which differentiate the control mechanisms of every system of governance: regulation by the market, the role of the board of directors, the role of banks, internal mechanisms etc
