Résumé: Les actions sont des titres négociables émisent par les sociétés par actions qui matérialisent la contribution d’un actionnaire au capital de la société, soit par la présentation d’apports en numéraire ou en nature. Le contributeur dispose ainsi des droits pouvant lui permettre de participer à la gestion de la société et de demander la protection de ses intérêts légitimes. Certains de ses droits ont un caractère moral ou extrapatrimonial, comme le droit à l’information et le droit de vote dans les assemblées d’actionnaires. D’autres droits, ont un caractère patrimonial ou financier, comme le droit à la participation au partage des dividendes, du boni de liquidation et du droit préférentiel de souscription des nouvelles actions et en fin du droit de cession des actions. الملخص: الأسهم هي سندات مالية قابلة للتداول صادرة عن شركات المساهمة وتجسد مساهمة المساهم في رأس مال هذه هذه الشركات سواء كانت التقديمات نقدية أو عينية مع العلم أنّ التقديمات الصناعية ممنوعة في هذا النوع من الشركات. وبالتالي ، يتمتع المساهم بعدة حقوق التي قد تسمح له بالمشاركة في إدارة وتسيير الشركة وتمكنه كذلك من طلب حماية مصالحه المشروعة المتمثلة في مختلف الحقوق والصلاحيات التي أقرها له المشرع. تنقسم هذه الحقوق إلی حقوق ذات طبيعة معنوية أو غير مالية، مثل الحق في الاعلام والاطلاع والحق في التصويت في الجمعيات العامة للمساهمين. أما الحقوق الأخرى فهي ذات طبيعة مالية، مثل الحق في المشاركة في اقتسام الأرباح المحققة من طرف الشركة بعد نهاية السنة المالية ، ومكافآت التصفية والحق التفاضلي في اكتتاب أسهم جديدة ، وفي نهاية المطاف الحق في التنازل عن الأسهم مهما كان نوع هذا التنازل بعوض أي عقد بيع أو بدون عوض أي هبة. Abstract: Shares are negotiable securities issued by joint-stock companies which materialize the contribution of a shareholder to the capital of the company, either by the presentation of contributions in cash or in kind. The contributor thus has the rights that may enable him to participate in the management of the company and to request the protection of his legitimate interests. Some of his rights are moral or extra-patrimonial in nature, such as the right to information and the right to vote at shareholder meetings. Other rights are of a property or financial nature, such as the right to participate in the sharing of dividends, liquidation bonuses and preferential subscription rights for new shares and, ultimately, the right to sell shares.
