الملخص
ملخص : نتطرق في هذه الورقة البحثية إلى تحديد مسؤولية المؤسسين المدنية في شركة المساهمة عن الأعمال والتصرفات التي تمت في مرحلة التأسيس، وفي غياب الشخصية المعنوية، خاصة وأننا نلحظ بعض النقص في معالجة المشرع الجزائري لهذه المسألة، وهو ما يحتم علينا تفصيلها بشكل أعمق، مع تحديد نطاقها، والتطرق إلى بعض التشريعات المقارنة التي عالجت الموضوع بشكل موسع أو بشكل مختلف، مع الاستعانة بآراء الفقهاء لتحديد أساس قيام مسؤولية المؤسس عن التصرفات التأسيسية والتعهدات المتخذة في تلك الفترة بدل مسؤولية الشركة، وكذا نوع المسؤولية والأشخاص الذين يمكن أن تطالهم، ليصبحوا متضامنين مع المؤسسين في تحمل المسؤولية عن كل ضرر ناتج عن الأخطاء التأسيسية، بالإضافة إلى تحديد الإطار الزماني الذي يُسأل فيه المؤسس عن الضرر اللاحق بالغير أو بالمساهمين بسبب إخلاله بالقواعد المتعلقة بقواعد تأسيس شركة المساهمة، فضلا عن تحديد الحالات التي يتحرر فيها المؤسسون من هكذا مسؤولية. Abstract In this paper, we address the determination of the responsibility of the civil founders in the joint stock company for the actions and actions that took place at the establishment stage, and in the absence of moral personality, especially since we note some lack of treatment by the Algerian legislator for this, which makes it imperative to elaborate this responsibility further, determine its scope, address some comparative legislation that addressed the issue extensively or differently, and use the opinions of jurists to determine the basis for the establishment responsibility of the founding actions and commitments taken in that period, as well as the type of responsibility and persons that can be taken. To reach them to become in solidarity with the founders in taking responsibility for all damages resulting from the founding errors, in addition to defining the time frame in which the founder asks about the harm done to others or shareholders for violating the rules relating to the establishment of the joint stock company, and determining the statutes of the compensation claim that put an end to the company's responsibility for any founding error.
