دور أخلاقيات الأعمال في إرساء مبادئ حوكمة الشركات

الملخص
من خلال هذه الورقة البحثية يمكننا القول إن الأزمات المالية العالمية الأخيرة الناتجة عن الفساد وسوء التسيير أدت إلى تفاقم أزمات الشركات العالمية الكبرى، مما نتج عنها خسائر بمليارات الدولارات و أدى إلى ارتفاع فاتورة الفساد، وأصبحت عبئا على الشركات والاقتصاد العالمي ككل، حيث كل هذه الظروف ساعدت على البحث عن مبادئ و أدوات تضمن السير الحسن لكافة أنشطة المؤسسة ، و تساعد للتقليل من المخاطر وتحسين الأداء وفرص التطور للأسواق وزيادة القدرة التنافسية، والبحث عن القواعد التي تزيد من ثقة جمهور المستثمرين وتحقيق أهداف أصحاب المصالح، و من اهم هذه الأدوات التي تحقق حوكمة رشيدة لهاته المؤسسات نجد إن التدقيق الخارجي الذي تعنى بوضع معاييره و قواعده و آدابه هيئات خاصة و منظمات دولية تبذل مجهودات ملموسة لضبط ممارسة المهنة. Through this research paper, we can say that the recent global financial crises resulting from corruption and mismanagement have exacerbated the crises of major international companies, which resulted in losses of billions of dollars and led to a rise in the bill of corruption, and became a burden on companies and the global economy as a whole. Where all these circumstances helped to search for principles and tools that ensure the proper conduct of all the activities of the institution, and help to reduce risks, improve performance and opportunities for development of markets and increase competitiveness, and search for rules that increase the confidence of the investor public and achieve the objectives of stakeholdersAnd among the most important of these tools that achieve good governance for these institutions, we find that the external audit, which is concerned with setting its standards, rules and ethics, is private bodies and international organizations that are making tangible efforts to control the practice of the profession
