المسؤولية المدنية لمسيري شركات المساهمة

الملخص
تعتبر المسؤولية المدنية الجزاء المترتب على مخالفة الإلتزامات التعاقدية أو القانونية والتي يترتب عنها ضرر للغير ، وأما المسؤولية المدنية لمسيري الشركات التجارية فتأخذ أحكامها من نظرية العقد التي نظمها المشرع الجزائري في القانون المدني ومن أحكام القانون التجاري الذي نظم كيفية تسيير شركة المساهمة وعليه فعند مخالفة المسيرين للأحكام التعاقدية أو القانونية ووقوع ضرر ناجم عن هذه المخالفات تنشأ مسؤوليتهم المدنية التي قد تكون عقدية أو تقصيرية كما يمكن أن تكون مسؤولية شخصية أو تضامنية حسب الحالة. وينجم عن قيام مسؤولية المسيرين وجوب دفع تعويض للشركة أو للغير عن الضرر الذي لحق بالشركة أو بالغيرويمكن المطالبة بهذا التعويض عن طريق دعوى الشركة أو عن طريق دعوى الغير التي قد تكون فردية أو جماعية ، كما أن التعويض يمكن أن يكون نقديا أو يكون تعويضا عينيا أو تعويضا غير نقدي ، وتأخذ المسؤولية المدنية لمسيري شركات المساهمة خصوصيتها من خصوصية تسيير شركة المساهمة التي نظمها المشرع الجزائري بقواعد محددة في القانون التجاري. Civil liability is considered the penalty for violating contractual or legal obligations that result in harm to others ,As for the civil liability of the managers of commercial companies, its provisions are taken from the theory of the contract organized by the Algerian legislator in the Civil Code ,Among the provisions of the Commercial Law, which regulates how a joint-stock company is run, and accordingly, when the managers violate contractual or legal provisions and damage resulting from these violations, their civil liability arises, which may be contractual or tortuous , It can also be a personal or joint liability, depending on the case, and as a result of their liability, compensation must be paid to the company or to a third party for the damage caused to the company or third parties , This compensation can be claimed through the company’s lawsuit or through a third party lawsuit, which may be individual or collective, and the compensation can be monetary, in-kind or non-monetary compensation. The civil responsibility of the directors of joint-stock companies takes its own peculiarity from the peculiarity of running a joint-stock company organized by the Algerian legislator with specific rules in the commercial law.
