Résumé

The Corporate Governance needs multiple tools and mechanisms for its proper application, internally like the directors board, the Audit Committee, and the Internal Audit. Or externally, such as external audit and the different systems and laws governing the companies work. The purpose of this research is to analyse Corporate Governance structures, first through a bibliographical study based on books, articles, laws and regulations, then by a survey of a sample on Algerian companies.
