الملخص
يتناول المقال حق المساهم في الإعلام والقيود الواردة عليه، كونه يعد من المواضيع الهامة في قانون الأعمال نظرا لارتباطه بمصلحة الشركة والمساهمين، فيتبين أن الحق في الاطلاع على المعلومات أو الحصول إليها أو الولوج إليها، من أكثر الحقوق أهمية داخل الشركة، باعتباره الركيزة الأساسية والدعامة القوية لممارسة الحقوق الأخرى المرتبطة به كحق التصويت في الجمعية العامة. تظهر أهمية البحث في كون موضوع إعلام المساهم والقيود الواردة عليه يثير العديد من التساؤلات لمعرفة ما إذا كانت الأحكام الحالية المنظمة لمجال الاطلاع على وثائق ومعلومات الخاصة بنشاط شركة المساهمة في كل من القانونين الجزائري والفرنسي، تعد كافية وكفيلة لتقوية وتدعيم المراقبة التي يجريها المساهمين، على أنه تم التوصل في النهاية على أن هناك غموض ونقائص كان على المشرع تداركها لتفادي الإشكالات التي قد تثار من الناحية العملية . تبعا لذلك، يستدعي الأمر توضيح بعض المسائل وذلك من خلال إتباع المنهج التحليلي والمقارن في هذا الشأن.The article deals with the shareholder's right to the media and the legal restrictions on it, as it is considered one of the important topics in business law due to its connection to the interest of the company and the shareholders. To exercise other rights associated with it, such as the right to vote in the General Assembly. The importance of the research appears in the fact that the issue of the shareholder’s notification and the restrictions on it raises many questions to find out whether the current provisions regulating the field of his access to documents and information related to the activity of the joint-stock company in both the Algerian and French laws are sufficient and sufficient to strengthen and support the monitoring carried out by the shareholders. In the end, it was concluded that there are ambiguities and deficiencies that legislators had to rectify in order to avoid the problems that may arise in practice. Accordingly, it is necessary to clarify some issues through an analytical and comparative approach in this regard.
