شروط المحل التجاري باعتباره حصة مساهمة في تكوين عقد الشركة

الملخص
ملخص: من اجل المساهمة في تأسيس او رفع راس مال شركة تجارية يجوز الانضمام إلى شركة ما بتقديم أموال مختلفة حددت أنواعها في الشريعة العامة، ولا يهم إذا كانت الأموال العينية المقدمة منقولات أو عقارات، منقولات مادية أو معنوية. من خلال ذلك يمكن تقديم المحل التجاري، بصفته مالا منقولا معنويا، للمساهمة في الشركة لكن الشخص الذي يقدم متجره كإسهام في شركة لم يأخذ ثمنا كمقابل كما هو الوضع بالنسبة لعقد البيع، لكنه يكتسب حصة في رأسمال الشركة. وتمنح هذه الحصة للشريك مقدم المتجر الحق في المساهمة في الأرباح التي قد تحصل عليها الشركة، وإذا تعرضت الشركة لخسائر سيتحملها الشريك المقدم شأنه شأن الشركاء الآخرين، ويجوز تقديم المحل التجاري للمساهمة في شركة في طور التكوين، في حالة التأسيس، وعلى ذلك تخضع عملية تقديم المحل التجاري كإسهام في شركة لشروط معينة اقرتها القواعد العامة في القانون المدني و منها الخاصة في القانون التجاري، ومن بين الشروط ما تخص المحل التجاري بذاته باعتباره مال معنوي منقول من حيث ملكيته و مشروعيته من جهة و الشريك مقدم حصة محل التجاري كأهليته ممارسته لنشاط التجاري من جهة اخرى. الكلمات المفتاحية : (المحل التجاري- ملكية المحل التجاري- الاهلية التجارية- الحصة العينية ). Abstract: Any trading company in order to contributi to estoblishing or raising capitals. May join any other company by offrering varions types of assets defined by general legislation .at doesn’t matter if the assets presnted are in-kind movable property real astate or tangible and inntangible movable. According to that or commercial space could be presented as an intangible movable asset as to contr i bute to the company. A person who offers we store as a contribution to the firm is not going to be paid in consequence ,as it is accus toned for sales contracts.In countracter-part,He is going to ears phares in the company s capital. This share enables the participant shareholder to take part in the potential company s profits. If the company suffers losses. Like the other partners. He will bear them. The commercial space could be provided as a contribution to an emerging firm during the fondation. Accordingly, the process of providing a commercial space as a contribution to a company is subject to specific conditions approved by the general rules of the cvil Law and spcific rules in the commerce Law. Some of these specific conditions are related to the particular commercial space as it is considered an intangible asset ; it is ownership and legitimacy.
