ضمانات حماية الغير حسن النية تجاه مجلس إدارة الشركة المساهمة في التشريع الجزائري

الملخص
يعد مجلس الإدارة الجهاز التنفيذي في الشركة المساهمة منوطا له مهمة تسيير شؤون الشركة و الشركاء و الغير سواء بالسلب أو الإيجاب. مما يؤدي إلى خطورة كبيرة قد تتسبب في عرقلة سير الشركة. لذا تحرص التشريعات على حماية الشركة و المساهمين و الغير من أخطاء مجلس إدارة الشركة المساهمة أو أحد أعضائها. فإن أساء المجلس استعمال سلطاته فالأصل أن الشركة لا تلتزم بتلك التصرفات التي ألحقت ضررا بالغير المتعامل مع الشركة. و استثناء أقر المشرع التزامها تجاه الغير لكن هذا الالتزام اقترن بشروط منها أن يكون الغير حسن النية أي لا يعلم بتجاوز مجلس الإدارة لسلطاته مما يرتب هذا الفعل مسؤولية مدنية لأعضاء مجلـس الإدارة متى سبب ضررا و يستلزم التعويض. مجلس الإدارة ؛ الشركة المساهمة ؛ الغير حسن النية ؛ التعويض. The board of Directors of the executive body in the joint-stock company is entrusted with the task of running affairs of the company, partners and others, whether negatively or positively, which leads to great danger that may hinder the company's progress. If the board abused its powers, the basic principle is that the company does not adhere to those actions that have caused harm to others who deal with the company, and with the exception of the legislator acknowledging its commitment to others, but this commitment was accompanied by conditions, including that the third party is in good faith, meaning he does not know about the transgression of others, but this commitment was accompanied by conditions, including that the others in good faith, that is, he does not know that the board of directors has exceeded its powers, which leads to this act as a civil liability for the members of directors when it causes damage and requires compensation .
